1. Introduction
These Terms & Conditions apply to the use of the Sonya Parra website and the provision of illustration and related creative services by Sonya Parra (the Artist).
Services may include live event fashion illustration, guest portraits, digital illustration, product personalisation, brand activations, workshops and other commissioned creative work.
The specific services, fees, timings, deliverables and any additional requirements for an individual booking will be set out in the relevant quotation, booking confirmation or separate written agreement.
Where an individual agreement expressly varies these general terms, the individual agreement will take precedence for that booking.
2. Enquiries, Quotations and Bookings
A website enquiry or quotation request does not constitute a confirmed booking.
A booking becomes binding when the parties have agreed the essential details, including the services, date and fee, and any applicable booking conditions. Agreement may be reached verbally or in writing, subject to applicable law.
The Artist will confirm the agreed arrangements in writing wherever reasonably practicable.
Any changes to the agreed services, timings, location or deliverables must be agreed between the parties.
3. Booking Payments and Final Balance
Unless otherwise agreed in writing, a booking payment of 50% of the total agreed fee is required to secure the event date. The remaining 50% is payable six weeks before the event.
For bookings confirmed within six weeks of the event, the full fee is payable upon confirmation, unless otherwise agreed in writing.
Payment deadlines and any additional payment conditions will be specified in the relevant quotation or booking confirmation.
4. Cancellation and Postponement
Once a booking has been confirmed, the Artist reserves the agreed date and may decline other commissions. Cancellation can therefore result in lost anticipated income, preparation costs and other expenses.
Unless alternative terms have been agreed in writing, the following cancellation schedule will normally apply:
More than 90 days before the event: A cancellation charge of 50% of the total agreed booking fee.
90 days or fewer before the event: A cancellation charge of up to 100% of the total agreed booking fee.
The applicable charge will take account of the circumstances of the cancellation, work already undertaken, costs incurred, costs saved, the likelihood of securing replacement work and the reasonable financial loss arising from the cancellation.
Payments already received will be credited against the applicable cancellation charge. Any refund due will be calculated accordingly. The Artist will not seek to recover the same loss more than once.
Different cancellation arrangements may be agreed in writing for bespoke commissions, peak dates, weddings, corporate brand activations and bookings involving substantial advance preparation. Any such arrangements should be agreed before the booking is confirmed.
Cancellation requests must be communicated directly to the Artist in writing. The Artist will confirm receipt in writing wherever reasonably practicable.
Requests to postpone an event or change the agreed date are subject to the Artist's availability and written agreement. Additional costs may apply where a change affects work already undertaken or a previously reserved date.
5. Working Environment and Client Responsibilities
The Client is responsible for providing a suitable, safe and accessible workspace and the facilities agreed for the booking.
For digital illustration, the workspace must be sheltered, appropriately lit and within a suitable operating temperature for the Artist and the equipment being used.
Direct sunlight, excessive heat, extreme cold, rain and other adverse conditions may make the work unsafe or impracticable.
The Client must ensure that the designated working area is free from unreasonable hazards and that the Artist can work without undue interference.
Where the workspace is unsafe, inaccessible or unsuitable, the Artist may suspend or cease work where reasonably necessary to protect personal safety or equipment. The parties will discuss an appropriate resolution, taking account of the circumstances, the booking agreement and applicable law.
At events involving children, the Client or event organiser is responsible for ensuring appropriate parental or guardian supervision. The Artist is not responsible for supervising children.
6. Equipment and Technical Requirements
The Client must provide any facilities agreed in advance, including suitable table and seating arrangements, access to power and sufficient workspace where required.
The Artist will take reasonable care of equipment and materials brought to the event.
The Client may be responsible for the reasonable cost of repairing or replacing equipment lost or damaged through the negligent or wrongful actions of the Client or persons for whom the Client is legally responsible, subject to applicable law.
The Artist is not responsible for delays or interruptions caused by circumstances outside her reasonable control, including venue power failures, inadequate facilities, network issues, equipment malfunctions or excessive interruptions by guests.
The Artist will take reasonable steps to minimise disruption where possible.
7. Illness, Emergencies and Events Beyond Reasonable Control
If illness, an emergency or another circumstance beyond the Artist's reasonable control prevents attendance or performance, the Artist will notify the Client as soon as reasonably practicable.
Where appropriate and available, the Artist will endeavour to arrange a suitably qualified replacement, subject to any necessary agreement with the Client.
If the booking cannot proceed, the parties will discuss an appropriate resolution, including rescheduling, alternative arrangements or refunds due under the booking agreement and applicable law.
Nothing in these terms excludes or restricts liability where doing so would be unlawful.
8. Professional Conduct
The Artist will conduct herself professionally and will not consume alcohol or illegal drugs while undertaking an assignment.
The Client and event organiser are expected to maintain a safe and respectful working environment.
The Artist may pause or cease work where serious misconduct, harassment, threatening behaviour or unsafe conditions make it unreasonable to continue. Any resulting payment or cancellation consequences will be assessed in accordance with the booking agreement and applicable law.
9. Copyright, Artwork Ownership and Usage Rights
Copyright and Ownership
Unless expressly agreed otherwise in a separate written agreement, copyright in original illustrations and artwork created by the Artist remains with the Artist.
Commissioning, purchasing or receiving an illustration does not automatically transfer copyright or ownership of the original artwork to the Client.
Client Usage Rights
The Client may use commissioned artwork for the purposes expressly agreed in the relevant quotation, booking confirmation or separate written agreement.
Any additional commercial, advertising, reproduction, licensing or other usage rights must be agreed in writing.
Portfolio and Promotional Use
The Artist retains the right to photograph, reproduce, display and use images of artwork created during commissions and events for her professional portfolio, website, social media, promotional materials, exhibitions, publications and other professional activities.
This right is subject to applicable law, third-party intellectual property rights, contractual confidentiality obligations, agreed embargoes and relevant privacy and image rights.
Where a commission involves confidential products, unreleased campaigns or other sensitive material, the parties may agree in writing when and how images of the work may be published.
The Client must identify relevant confidentiality or publication restrictions before the event and ensure that any agreed arrangements are recorded in the booking documentation.
10. Photography, Confidentiality and Event Restrictions
The Artist will respect reasonable confidentiality requirements agreed in advance.
The Client must inform the Artist of relevant restrictions concerning photography, filming, confidential products, embargoed campaigns, guests or event content before the assignment.
Where an event requires a live-only protocol, reference photographs will not be taken or stored by the Artist unless expressly agreed otherwise and handled in accordance with applicable data protection requirements.
Any use of identifiable guest images for promotional purposes must respect applicable privacy rights, permissions and contractual restrictions.
11. Insurance
The Artist maintains public liability insurance through Equity, with cover of £10,000,000, subject to the terms, conditions and exclusions of the current policy.
Any specific insurance documentation or additional requirements requested by a Client or venue should be agreed before the event and confirmed against the Artist's current policy.
12. Website Content and Intellectual Property
The text, images, illustrations, branding and other original content published on this website are owned by the Artist or used with permission, unless otherwise stated.
Website content may not be copied, reproduced, republished or commercially exploited without the relevant permission, except where permitted by law.
The Artist endeavours to keep website information accurate and current but does not guarantee that every item of content will always be complete or up to date.
13. Privacy and Personal Information
Personal information submitted through this website or in connection with an enquiry or booking will be handled in accordance with the Sonya Parra Privacy Policy.
The Privacy Policy explains how personal information is collected, used, stored and shared, and how individuals can exercise their applicable data protection rights.
14. Liability
The Artist will exercise reasonable care and skill in providing agreed services.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded or limited.
Subject to applicable law, the Artist will not be liable for indirect or consequential losses that are not reasonably foreseeable or otherwise recoverable under the applicable agreement and law.
The Artist's liability for a particular booking will be determined in accordance with the individual agreement and applicable law.
15. Governing Law
These terms and any dispute arising from them will be governed by the laws of England and Wales, subject to any mandatory legal protections applicable to the Client.
Nothing in these terms removes any statutory rights that cannot lawfully be excluded.
